Independent Contractor Agreement for Virtual Call Center Reps.
This agreement (the "Agreement") is made and entered into by and between Ravenwood Communications Group with its principal place of business located at P.O Box 693, Galena Park, TX 77547 (hereinafter referred to as "the Company") and

Independent Contractor: By signing this agreement you are being subject to the terms and conditions of this Agreement. The Company hereby engages this signed as an Independent Contractor to perform the services set forth herein, and the Contractor accepts such engagement. ______
Duties and Services: The Contractor shall provide Upsell Services via Telephone to callers who have been routed to the telephone number that the Contractor has provided. The callers will not have the Contractors telephone number. The Contractor shall provide such (services) consistent with the Contractors specialized skills, training and or experience with results that are satisfactory to the Company. ________
Compensation: The company shall compensate the Contractor for the Services solely in accordance with the Compensation Schedule attached hereto and incorporated herein based on the actual telephone connect time for each call during which the Services are performed by the Contractor. The Company shall pay the Contractor on a weekly basis. Payments to the Contractor shall be made on a weekly basis and will be due within 10 days following receipt by the Company of its weekly telephone report from either the Company's service bureau or the long distance carrier, and the actual telephone connect time for each such call shall be as set forth therein. Accordingly, the Contractor is not required to submit time records to the Company. The Contractor shall not participate in any benefit plan or program of the Company, including, but not limited to, health insurance, life insurance, disability insurance, pension or profit sharing, workers' compensation, paid vacation or sick pay. Company is not responsible for any lost income due the to Contractor being suspended for poor performance. The company also has the right to change the pay with notice. _____________
Compensation is as follows
No Payment will be made if less than two hours of talk time in a week. You must work at least two hours of talk time to get payment. Network Requirement.
120 to 200 minutes of talk time are paid at 10 cents a minute ($6.00)
201 to 600 minutes of talk time are paid at 15 cents a minute ($9.00)
601 + minutes of talk time are paid at .1833 cents a minute ($11.00)

Equipment and Expenses. At all times during the term of this Agreement, the Contractor shall provide, at the Contractor's sole cost and expense, all of the equipment, materials, supplies and premises necessary to the performance of the Services, including, but not limited to a separate, designated, unlisted touch-tone telephone line without call waiting, voice mail or answering device, High speed internet access, or two phone lines one free of any features, and internet access. all necessary telephone and computer equipment, office supplies and any persons engaged or services contracted for. _________
Service Location: The Services to be provided by the Contractor under this Agreement shall be performed at the Contractor's place of business. ______________
Hours or Schedule: The contractor shall have no obligation to perform or be available to perform the Services during any particular hours, or according to any particular routine or schedule, to be determined by the Contractor in his or her sole discretion. However, the contractor agrees to supply his or her services for a minimum of 10 hours of log on time per week, or he may be released from his or her contract. No pay will be given for hours work if total minutes are less than 2hours to talk time per week. ____________
No Supervision or Reporting: You are an independent contractor and are in business for yourself. You must be able to work without supervisor. You work when you want, as much as you want as long as the 2-hour minimum is met. If you are unable to work any given day, there is no need to report. _______________
Services for Third Parties. Subject to the compliance by the Contractor with the provisions of Section 13 of this Agreement, the Contractor retains the right to provide services similar to the Services to other individuals, businesses or the general public. _____________
No Violation. The Contractor represents warrants and agrees that the performance of the Services will not violate any contractual rights, trade secrets or other rights of any third party. ____________
Term and Termination. Each party may terminate this Agreement without cause at will. Each party may terminate the Agreement immediately without prior notice in the event of a breach of this Agreement by the other party. In the event of termination or expiration, the Contractor shall be paid Contractor's usual compensation up to the effective date of termination or expiration according to the compensation schedule. ____________
Nondisclosure and Nonsolicitaion. The Contractor shall not directly or indirectly disclose to any person other than a representative of the Company at any time either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to the Company, including but not limited to customer lists, contracts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets. Furthermore, the Contractor agrees that during the term of this Agreement and for a period of one year following the termination or expiration of this Agreement, the Contractor shall not directly or indirectly solicit or attempt to solicit any Callers, customers or suppliers of the Company other than on behalf of the Company. Contractor shall not retain , share or distribute credit card info, names, addresses, email addresses or any other info of the callers Any one doing so may face legal action by the network. ___________
Fees:Contractor agrees to pay a stop payment fee of 25 dollars for any checks that have been lost, stolen, damaged or misplaced by the Contractor or while it has been in the Contractors possession. I understand that if my check was for less than the stop payment amount, that my check will not be replaced. ____________

I release Ravenwood Communications Group from any liability and or obligation or withholding any FICA, Federal, State, or Local taxes. I fully understand that all monies paid to me by Ravenwood Communications Group will be reported for Income Tax purposes on IRS form 1099.
